Terms of Service

Important: These Terms of Service ("Terms") are a legal agreement between you and Mockerkin Capital Limited (CR No. 2285616), a company incorporated in Hong Kong, operating the besello platform. By using our service, you agree to be bound by these Terms. Please read them carefully.

1. Acceptance of Terms

By accessing or using besello's AI sales platform ("Service"), you agree to comply with and be bound by these Terms, our Privacy Policy, and all applicable laws and regulations.

If you do not agree with these Terms, you must not use our Service. We reserve the right to modify these Terms at any time, and your continued use constitutes acceptance of the updated Terms.

2. Service Description

besello provides an agentic AI sales platform that includes:

  • 6 autonomous AI agents (SDR, Marketing, Voice AI, Analytics, and more)
  • 7 communication channels (Email, Voice AI, SMS, WhatsApp, LinkedIn, Live Chat, Calendar)
  • Full built-in CRM with pipeline management, deal forecasting, and contact enrichment
  • Campaign and automation engine with visual workflow builder
  • Chrome extension for lead capture and enrichment
  • Deep research and intelligence powered by real-time data sources
  • 15+ analytics dashboards and reporting tools

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Account Registration and Eligibility

3.1 Eligibility

You must be at least 16 years old and have the legal capacity to enter into a binding contract. By using besello, you represent and warrant that you meet these requirements.

3.2 Account Creation

  • You must provide accurate, complete, and current information
  • You are responsible for maintaining the confidentiality of your account credentials
  • You are responsible for all activities under your account
  • You must notify us immediately of any unauthorized access
  • One account per user; sharing accounts is prohibited

3.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or illegal activity.

4. Subscription Plans and Pricing

4.1 Pricing Tiers

  • Starter: $499/month (or current pricing on website)
  • Professional: $999/month (or current pricing on website)
  • Enterprise: Custom pricing based on needs

4.2 Payment Terms

  • All fees are in USD and billed monthly in advance
  • Payment is due upon subscription or renewal
  • We accept major credit cards via Stripe
  • You authorize automatic recurring charges
  • Prices are subject to change with 30 days' notice

4.3 Free Trial

  • Free trials include 100 free qualified leads
  • No credit card required for trial
  • Trial limitations apply (see specific tier features)
  • One free trial per customer/company

4.4 Refunds and Cancellation

  • You may cancel anytime from your account dashboard
  • Cancellation takes effect at the end of the current billing period
  • No refunds for partial months or unused services
  • Refunds considered on a case-by-case basis within 14 days of initial purchase

5. Acceptable Use Policy

5.1 Permitted Use

You may use besello for legitimate B2B sales and marketing purposes in compliance with all applicable laws.

5.2 Prohibited Activities

You agree NOT to:

  • Send spam, unsolicited emails, or violate CAN-SPAM Act or GDPR
  • Use the Service for illegal, fraudulent, or harmful purposes
  • Scrape, harvest, or collect data beyond your subscription limits
  • Reverse engineer, decompile, or attempt to extract our source code
  • Resell, sublicense, or share your account with third parties
  • Bypass rate limits or abuse the Service infrastructure
  • Upload malware, viruses, or malicious code
  • Impersonate others or misrepresent your affiliation
  • Harass, threaten, or defame others
  • Violate intellectual property rights

5.3 Consequences of Violation

Violations may result in immediate account suspension or termination without refund.

6. AI Agent and Automation

6.1 Autonomous Actions

besello's AI agent acts on your behalf to send emails, book meetings, and perform outreach. You are responsible for:

  • Reviewing and approving AI-generated messaging (in supervised mode)
  • Ensuring compliance with email marketing laws (CAN-SPAM, GDPR)
  • Monitoring AI activity and adjusting settings as needed
  • Honoring opt-out requests from recipients

6.2 AI Limitations and Disclaimer

  • AI-generated content may contain errors or inaccuracies
  • We do not guarantee specific lead quality, conversion rates, or business results
  • You remain responsible for all communications sent by the AI on your behalf
  • We reserve the right to modify AI behavior to improve service quality

7. Data and Intellectual Property

7.1 Your Data

  • You retain all rights to data you upload (CRM data, messaging templates, etc.)
  • You grant us a license to use your data solely to provide the Service
  • We may use anonymized, aggregated data to improve our AI models
  • You can export your data at any time in CSV or JSON format

7.2 besello Intellectual Property

  • All Service code, AI models, algorithms, and designs are owned by besello
  • You receive a limited, non-exclusive license to use the Service
  • You may not copy, modify, or create derivative works of our Service
  • Our trademarks and branding may not be used without permission

7.3 Third-Party Data Sources

Data from our 27+ free sources is subject to their respective terms of use. You agree to comply with all third-party data provider terms.

8. Privacy and Data Security

Our Privacy Policy governs how we collect, use, and protect your data. Key points:

  • Data encrypted in transit (TLS 1.3) and at rest (AES-256)
  • SOC 2 Type II compliant infrastructure
  • Your CRM data is isolated and not shared with other users
  • We comply with GDPR, CCPA, and other data protection laws

9. Third-Party Integrations

besello integrates with third-party services (LinkedIn, email providers, CRMs). You are responsible for:

  • Complying with third-party terms of service
  • Maintaining valid licenses for integrated services
  • Securing your third-party account credentials

We are not responsible for third-party service outages, changes, or discontinuations.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • besello is provided "AS IS" and "AS AVAILABLE" without warranties of any kind
  • We disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose
  • We do not guarantee uninterrupted, error-free, or secure service
  • We are not liable for lost profits, revenue, data, or consequential damages
  • Our total liability is limited to the amount you paid in the 12 months preceding the claim

Some jurisdictions do not allow limitations on liability, so these may not apply to you.

11. Indemnification

You agree to indemnify and hold harmless besello, its officers, employees, and affiliates from any claims, damages, or expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content sent by the AI agent on your behalf

12. Service Level Agreement (SLA)

Professional and Enterprise tiers only:

  • Uptime Target: 99.5% monthly uptime (excluding scheduled maintenance)
  • Scheduled Maintenance: Announced 48 hours in advance when possible
  • Support Response Times:
    • Professional: 24-hour response
    • Enterprise: 4-hour response (business hours)
  • Credits: SLA credits calculated based on actual downtime (see SLA documentation)

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region of the People's Republic of China, without regard to conflict of law principles.

13.2 Arbitration

Any dispute arising from these Terms shall be resolved through binding arbitration administered by the Hong Kong International Arbitration Centre (HKIAC), except:

  • Claims for injunctive relief
  • Small claims court matters
  • Intellectual property disputes

13.3 Class Action Waiver

You agree to resolve disputes on an individual basis and waive the right to participate in class action lawsuits.

14. Modifications to Terms

We may modify these Terms at any time. We will notify you of material changes via:

  • Email to your registered email address
  • In-app notification
  • Prominent notice on our website

Your continued use after changes constitutes acceptance. If you disagree, you may cancel your account.

15. Termination

15.1 By You

You may cancel your subscription at any time from your account dashboard. Cancellation takes effect at the end of the current billing period.

15.2 By Us

We may suspend or terminate your account immediately if you:

  • Violate these Terms
  • Fail to pay fees
  • Engage in fraudulent or abusive behavior
  • Threaten the security or integrity of our Service

15.3 Effect of Termination

  • Access to the Service is immediately revoked
  • You have 30 days to export your data before permanent deletion
  • Outstanding fees remain due
  • Provisions regarding liability, indemnification, and arbitration survive termination

16. General Provisions

16.1 Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and besello.

16.2 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

16.3 No Waiver

Failure to enforce any provision does not constitute a waiver of that provision.

16.4 Assignment

You may not assign or transfer your rights. We may assign our rights in connection with a merger or sale.

16.5 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control.
